Due diligence is the buyer’s opportunity to test assumptions before accepting the vessel. The right scope depends on vessel type, age, trade, price, flag, operating history and intended use.
Organize workstreams
Separate technical condition, title and liens, regulatory status, contracts, financial obligations and operations. Give each workstream an owner, deadline and decision impact rather than collecting documents without a review plan.
Prioritize items that can affect safety, ability to trade, financing, delivery date or post-closing cash needs. Ask the seller for gaps and verify important assertions independently.
Convert findings into decisions
Maintain a findings log with source, severity, estimated impact and proposed response. Responses may include price adjustment, repair, condition precedent, indemnity, holdback or walking away.
Keep the acceptance standard in the agreement visible. New information after the inspection deadline should be escalated quickly; silence can unintentionally waive leverage.
Buyer checklist
- Set technical, legal, operational and financial workstreams.
- Create a document request list and findings log.
- Verify critical facts using independent sources.
- Quantify repairs, downtime and compliance exposure.
- Tie material findings to contract remedies and deadlines.
Put the plan into a controlled workflow
Share a sourcing brief or create a transaction and coordinate parties, documents, diligence and closing milestones.
